Preamble
The Provider carries on, under the business name Lexper, a legal and wealth advisory business under Swiss law. It also offers the "Statut LBA" application, which helps professionals determine whether they are subject to the obligations of the Federal Act on Combating Money Laundering and Terrorist Financing (Anti-Money Laundering Act, AMLA), as well as compliance services.
Status. Lexper is a legal advisory firm, not a law firm. The persons who advise under the business name Lexper are jurists; they are not entered in a cantonal register of attorneys-at-law. The Provider does not represent its clients in court, does not represent them before authorities or self-regulatory organisations (SROs), and does not draw up any authentic instrument. The confidentiality it owes is contractual (Article 19); it does not benefit from the special protection of attorney-client privilege. Where a matter requires an attorney-at-law or a notary, the Provider may recommend one; that person is instructed directly by the Client, under a separate mandate and separate fees, and the Provider is not liable for that person's acts or omissions.
These terms are common to these services. Title I applies to every order. Title II governs legal and wealth advisory services, Title III the "Statut LBA" application and the Dated Memo, and Title IV the AMLA compliance services; only the titles corresponding to the services ordered apply. The Annex governs consumer clients resident in the European Union.
TITLE I. Common provisions
Article 1. Parties, purpose and scope
1.1 Identification. The Provider is identified at the head of these terms. The Client is identified in the quotation, the order confirmation or the online order data.
1.2 Clientele. The services of Title II are addressed to private individuals and professionals alike. The services of Titles III (Dated Memo) and IV are reserved for businesses and self-employed persons established in Switzerland, who order them for the purposes of their professional activity; by ordering them, the Client confirms this. A professional established abroad contacts the Provider before any order.
1.3 Professional clients. Where the Client acts for the purposes of its professional activity, the consumer-protection provisions of these terms (Article 9.2 insofar as it reserves the law, Article 24 insofar as it reserves mandatory places of jurisdiction, and the Annex) do not apply.
1.4 General exclusions. The Provider does not provide: representation in court or before an authority; authentic instruments; real estate transactions; the incorporation or management of companies; domiciliation; the holding of third-party funds; the exercise of a bank power of attorney.
1.5 Order of precedence. In the event of inconsistency, the order is as follows: (1) the accepted quotation or order confirmation; (2) these terms; (3) the prices and descriptions published on lexper.ch on the date of the order. Any general terms and conditions of the Client do not apply, unless expressly accepted in writing by the Provider.
Article 2. Formation of the contract
2.1 Advisory mandates. The contract is formed when the Client accepts in writing the Provider's quotation or order confirmation, which states the service, its price or hourly rate and the version of these terms. No billable work is undertaken before that acceptance.
2.2 Online order of the Dated Memo. The contract is formed by confirmation of payment on the secure payment page, after display of these terms, the price and the essential characteristics of the Dated Memo.
2.3 Package, review and training. These services are requested by means of the contact form. The contract is formed by written acceptance of the order confirmation that the Provider sends to the Client.
2.4 Exclusion of the telephone. No commitment may be made by telephone or by a similar means of voice telecommunication.
2.5 Versions. The applicable version is the one in force on the date of the order or referenced in the accepted quotation.
Article 3. Definitions
Online Verdict: the free result (yes, no, borderline case) displayed by the "Statut LBA" application at the end of the questionnaire.
Dated Memo: the PDF document produced by the application on the basis of the Client Responses and described in Article 14.
Compliance Package: the service described in Article 16.
Client Responses: the information that the Client gives in the application's questionnaire or to the Provider.
Article 4. Obligations of the Client
4.1 Accuracy. The Client provides complete and accurate information. The conclusions of the Provider and of the application rest on that information; an inaccurate or incomplete response may change the conclusion.
4.2 New facts. The Client informs the Provider of any new fact that may affect the advice or the conclusion of a Dated Memo.
4.3 Own filings. The Client personally signs the applications and declarations addressed to authorities and self-regulatory organisations and is responsible for them.
4.4 Payment. The Client pays the amounts due on the agreed due dates.
Article 5. Prices, invoicing and payment
5.1 Prices. The prices are those published on lexper.ch on the date of the order, or those of the accepted quotation.
5.2 VAT. The prices of Title II are stated incl. VAT (Swiss VAT at the statutory rate included, 8.1% at the date hereof); for a Client domiciled or established abroad, the service is deemed to be supplied at the place of its domicile or establishment (Article 8 para. 1 VATA) and is invoiced without Swiss VAT. The prices of Titles III and IV are stated excl. VAT, Swiss VAT at the statutory rate being added.
5.3 Means of payment. The Dated Memo is paid for online, at the time of the order, through the payment service provider Stripe, by the means that the payment page offers. The other services are invoiced; invoices are payable within thirty (30) days by bank transfer using the QR-bill, unless a different due date is stated in the quotation. The Provider may request an advance payment, stated in the quotation.
5.4 Third-party costs. Fees and charges of authorities, membership contributions and costs of affiliation to a self-regulatory organisation, the costs of the basic training required by it, the fees of attorneys-at-law or notaries and, in general, all third-party costs are not included.
5.5 Late payment. In the event of delay, the Client is in default from the due date after a written reminder; for a professional Client, from the due date without further notice (Article 102 para. 2 CO). The Provider may claim default interest of 5% per annum (Article 104 CO) and suspend its work after a written notice of default that remains without effect for ten (10) days.
Article 6. Nature of the obligations
6.1 Obligation of means. The Provider performs its services with care and in accordance with professional standards. Except for the time-limit and price commitments expressly provided in Articles 14.4, 16.2 and 16.3, its obligations are obligations of means.
6.2 No guarantee of decision. The Provider does not guarantee any decision of an authority, a self-regulatory organisation or a court, nor the admission of the Client to a self-regulatory organisation. Its conclusions reflect the law and practice known on the date they are delivered and do not predict a future decision.
6.3 Fees and outcome. Fees are due irrespective of the outcome.
Article 7. Intellectual property
7.1 Deliverables. The notes, memos, templates and documents delivered are intended for the Client's use, for its own needs or those of its business. The Client may hand them to a self-regulatory organisation, an authority, its audit firm or its advisers. Any other distribution, resale or making available to third parties requires the Provider's written consent.
7.2 Application. The "Statut LBA" application, its decision tree, its rules and its texts remain the exclusive property of the Provider and constitute trade secrets within the meaning of Article 6 UCA. It is prohibited to extract their content systematically or to reproduce it.
Article 8. Data protection
8.1 Legal framework. The Provider processes personal data in accordance with the FADP and, to the extent of its scope of application, the GDPR. The data protection statement published on lexper.ch forms an integral part of these terms.
8.2 Hosting. The website, the application and the data are hosted in Switzerland. Payment for the Dated Memo is entrusted to Stripe, which processes payment and billing data, notably in Ireland, the United Kingdom, the United States and India. Data is disclosed abroad only to a State ensuring an adequate level of protection or subject to the safeguards provided in Article 16 FADP.
8.3 Questionnaire responses. The Online Verdict is calculated in the Client's browser; its responses are not transmitted to the Provider unless a Dated Memo is ordered. When a Dated Memo is ordered, the responses are transmitted in encrypted form, unreadable by the payment service provider.
8.4 Retention. The Dated Memo is kept for ninety (90) days, then deleted. Accounting records (orders, invoices and business correspondence) are kept for ten (10) years (Article 958f CO). The documents of advisory mandates are returned or deleted twelve (12) months after the end of the mandate, unless otherwise required by law.
8.5 Artificial intelligence tools. The Dated Memo is produced by a rules engine, without the use of artificial intelligence. For the other services, the Provider may use artificial intelligence tools for research, proofreading and formatting; it checks the results, remains solely responsible for them, and discloses the Client's data to such tools only to the extent necessary, to providers that undertake not to use it to train their models, and in compliance with Article 8.2.
8.6 Rights. The Client has the rights conferred by the applicable law; requests are sent to the contact address.
Article 9. Liability
9.1 Principle. The Provider is liable for the diligent performance of its services in accordance with the rules of the mandate.
9.2 Limitation. To the extent permitted by law, the Provider's liability is limited to direct loss and capped at the amount paid for the service concerned. It is not liable for indirect or consequential loss, in particular loss of profit, fines or sanctions resulting from facts not disclosed or from inaccurate responses.
9.3 Mandatory reservations. Liability for gross negligence or wilful misconduct remains reserved (Article 100 para. 1 CO). Liability for auxiliaries is excluded to the extent permitted by Article 101 paras. 2 and 3 CO.
Article 10. End of the mandate
10.1 Termination at any time. Each party may terminate a mandate at any time, in writing (Article 404 CO). Work performed and costs incurred remain due; the advance payment is credited and the balance refunded. The party that terminates at an inopportune time compensates the other for the resulting loss. For consumer Clients resident in the European Union, Articles A.2 to A.6 of the Annex remain reserved.
10.2 Handover. At the end of the mandate, the Provider hands over to the Client its documents and the completed deliverables within ten (10) business days, subject to payment of the sums due.
TITLE II. Legal and wealth advisory services
Article 11. Scoping meeting
11.1 Purpose. The scoping meeting allows the situation to be set out, its questions to be delimited and whether, and on what terms, a mandate can be opened to be determined.
11.2 Price. The published price (CHF 180 incl. VAT at the date hereof) is deducted from the fees of the mandate that opens following the meeting.
Article 12. Advisory mandate
12.1 Quotation. Every advisory mandate is the subject of a written quotation, accepted before any billable work, at an hourly rate or a fixed fee. The hourly rate falls within the published range (CHF 160 to 240 per hour incl. VAT at the date hereof) and is set in the quotation.
12.2 Overrun. If the work required exceeds the quotation's estimate, the Provider informs the Client and obtains its written consent before continuing.
12.3 Scope. The advice concerns Swiss law and the questions defined in the quotation. It rests on the Client's information (Article 4.1).
TITLE III. "Statut LBA" application and Dated Memo
Article 13. Online Verdict
13.1 Free of charge. The Online Verdict is free of charge and gives rise to no mandate contract.
13.2 Scope. The Online Verdict is general information produced automatically from the user's responses. It constitutes neither a legal opinion binding the Provider, nor an opinion on a specific file, nor a position taken by an authority, a self-regulatory organisation or a court. The Provider is liable for it only in the event of gross negligence or wilful misconduct.
Article 14. Dated Memo
14.1 Purpose. The Dated Memo is a PDF document of three (3) to seven (7) pages that sets out, as at the date it states, the application's conclusion on the Client's being subject to the AMLA and the grounds for that conclusion, on the basis of the Client Responses. Where the conclusion is negative, it serves as a note of non-subjection as at the date stated.
14.2 Nature. The Dated Memo is produced automatically by a rules engine and is not individually reviewed. It is neither a legal opinion on a particular transaction, nor a position taken by an authority, a self-regulatory organisation or a court. It does not bring any structure into compliance.
14.3 Price. The price is the one published on the date of the order (CHF 149 excl. VAT at the date hereof; CHF 299 excl. VAT with a scoping meeting of forty-five (45) minutes). It is payable at the time of the order.
14.4 Delivery. The Dated Memo is made available by a download link upon confirmation of payment. If delivery fails for a technical reason, the Provider sends it by e-mail no later than the business day following notification. The link remains valid for thirty (30) days; the Client keeps a copy of the Memo itself.
14.5 Defect. If the Dated Memo does not correspond to the Client Responses as a result of an error in the application, the Provider delivers a corrected Memo free of charge; failing that, it refunds the price. This remedy is exclusive, subject to gross negligence or wilful misconduct.
14.6 No right of withdrawal. As the Dated Memo is ordered by a professional and delivered immediately, ordering it gives rise to no right of withdrawal.
14.7 Deduction. The price of the Dated Memo is deducted from the Compliance Package ordered within thirty (30) days following the date of the Memo.
TITLE IV. AMLA compliance
Article 15. Common regime
15.1 Necessary information. Delivery times run from complete receipt of the necessary information listed in the order confirmation.
15.2 Role of the Provider. The Provider prepares the documents; the Client adopts, signs and files them itself. Admission to a self-regulatory organisation and continuing compliance with the AMLA obligations are the Client's responsibility.
Article 16. Compliance Package
16.1 Content. The Package comprises, according to the description published on the date of the order: the establishment of the risk criteria, of the list of business relationships and of the necessary document templates, as well as the preparation of the affiliation file for a self-regulatory organisation. The basic training required by the self-regulatory organisation is not included.
16.2 Fixed price. The price is a lump sum, fixed and without overrun for the scope ordered: according to the scale published on the date of the order (CHF 1,900 excl. VAT for a self-employed person; CHF 3,500 excl. VAT up to five persons, then CHF 400 excl. VAT per additional person, at the date hereof).
16.3 Time limit. The Package is delivered within ten (10) business days of complete receipt of the necessary information. In the event of a delay attributable to the Provider, the Client may, after having set in writing a reasonable additional period that has expired without effect, terminate the order and obtain a refund of the price paid, less the value of the deliverables already delivered and usable.
16.4 Regulatory deadlines. Where the website announces that an order placed before a given date allows an affiliation deadline to be met, that commitment assumes that the Client provides the necessary information early enough for the period in Article 16.3 to expire before that deadline.
Article 17. Annual Threshold Review
17.1 Purpose. The Annual Threshold Review comprises the re-examination, once a year, of the Client's situation against the criteria for being subject to the AMLA and the delivery of an updated Dated Memo.
17.2 Term. The Review is concluded for a term of one (1) year from the order. It is not tacitly renewed; the Provider proposes its renewal before expiry and the Client accepts it in writing.
17.3 Price. The published annual price (CHF 490 excl. VAT at the date hereof) is invoiced at the time of the order.
Article 18. In-House Training
The In-House Training is given at the place and on the date agreed, at the published price (CHF 900 excl. VAT per half-day at the date hereof), travel costs in addition according to the order confirmation. Cancellation by the Client less than ten (10) business days before the agreed date gives rise to invoicing of fifty per cent (50%) of the price, unless a postponement is agreed. It does not replace the basic training required by a self-regulatory organisation, unless expressly recognised by that organisation.
TITLE V. Final provisions
Article 19. Confidentiality
The Provider treats the Client's information confidentially and discloses it to third parties only to the extent necessary for performance of the mandate, with the Client's consent or where required by law or by an authority. This obligation continues without limit in time.
Article 20. Force majeure
Neither party is liable for a failure caused by an event beyond its reasonable control, in particular disaster, major infrastructure failure, failure of a third-party supplier, measure of an authority or cyberattack.
Article 21. Assignment and subcontracting
The Client may not assign the contract without the Provider's written consent. The Provider may use subcontractors bound by the same confidentiality, remaining responsible for their performance within the limits of Article 9.
Article 22. Miscellaneous provisions
22.1 Amendments. Any amendment of the contract requires written form. The Provider may adapt these terms for future contracts.
22.2 Partial invalidity. If a clause is void or unenforceable, the others remain valid.
22.3 Notices. Communications are validly made by e-mail.
22.4 Language. The Dated Memo is produced in French. Translations of these terms may be made available; in the event of inconsistency, the French version prevails.
Article 23. Transitional provision
Mandates concluded before 15.10.2026 remain governed by the terms agreed when they were concluded, unless the parties agree otherwise in writing.
Article 24. Governing law and jurisdiction
This contract is governed by Swiss law, subject to the mandatory provisions of Article 120 PILA in favour of the consumer. The place of jurisdiction is the Provider's registered office, namely Bern, Switzerland. The mandatory places of jurisdiction provided in favour of the consumer remain reserved, in particular under Articles 32 and 35 CPC and, for Clients domiciled in a State bound by the Lugano Convention, under its Articles 15 to 17.
ANNEX. Consumer clients resident in the European Union
A.1 Scope
This Annex applies to consumer Clients habitually resident in a Member State of the European Union at the time of conclusion of a contract for a service under Title II. The Provider applies it as a precaution, without acknowledging the applicability of European Union law.
A.2 Right of withdrawal
The Client has a right of withdrawal of fourteen (14) days from conclusion of the contract, without reason or penalty, by a clear statement addressed to contact@lexper.ch or to the Provider's postal address, if necessary by means of the model form reproduced in Article A.6, attached to the quotation.
A.3 Default standstill
By default, the Provider performs no service before expiry of the withdrawal period.
A.4 Early performance
The Client may request in writing, expressly, that performance begin before expiry of the withdrawal period. In the same request, the Client acknowledges that it loses its right of withdrawal for any service fully performed before expiry of that period. The Provider confirms the request on a durable medium.
A.5 Effects of withdrawal
Withdrawal terminates the contract. The Provider refunds the sums paid within fourteen (14) days, less, in the case of Early Performance, the proportionate amount for the services supplied and the price of the services fully performed before the withdrawal. In the absence of Early Performance, the refund is in full.
A.6 Model withdrawal form
A Client wishing to withdraw may use the model below (the model in Annex I B of Directive 2011/83/EU, adapted to the Provider). Its use is not mandatory; withdrawal may be declared in any other clear and unequivocal form (Article A.2).
